Terms of Service
These Terms of Service govern your use of the proposalcreation.com website and application. The service is operated by the administrator of the proposalcreation.com service. By creating an account or using the service, you agree to these terms on behalf of yourself and the business you represent.

What the service provides
ProposalCreation is AI proposal software for businesses. It drafts proposals, quotes, statements of work and RFP responses from your brief, lets your team edit them in a block editor, sends tracked links with electronic signature and shows how recipients engage with each proposal. The features in each plan are described on ProposalCreation pricing.
- The service is intended for business use. You confirm that you are at least 18 years old and authorized to bind the business you register.
- Contact for questions about these terms: [email protected]
Your account
You register with a work email address and a password and confirm the address with a six-digit code we email to you. You are responsible for keeping your credentials confidential and for all activity under your account and your workspace.
- Provide accurate information and keep it up to date.
- Each seat belongs to one named person. Seats may be reassigned, but credentials may not be shared.
- Workspace owners and admins control roles, invitations and access for their team.
- Tell us at [email protected] as soon as you suspect unauthorized access.
Subscriptions and billing
Paid access is sold only as a subscription, billed monthly or annually in advance, at the prices shown on the pricing page when you subscribe. There are no one-time purchases, credits or top-ups.
- Your subscription renews automatically at the end of each billing period until you cancel.
- You can cancel at any time in your account settings. Cancellation stops future renewals and you keep access until the end of the period you have already paid for.
- Moving to a higher plan or from monthly to annual billing takes effect after the prorated difference is charged at the time of the change. Moving to a lower plan takes effect at the next renewal.
- Prices exclude taxes, which are added where the law requires.
- If a renewal payment fails, we may limit the workspace to read and export access until payment succeeds.
- We may change prices for future billing periods with at least 30 days' notice by email. The new price applies from your next renewal after the notice period.
Payments and refunds
All payments are final. The limited cases in which we issue a refund are described in our refund policy.
Plan limits and usage
Each plan includes a set number of seats, AI proposal drafts per month and AI section rewrites per month. Sending proposals you have created is not limited.
- AI drafts and AI rewrites are counted as usage in the current billing period at the moment they are generated.
- Deleting a proposal, a draft or a section does not return usage to your limit.
- Unused drafts and rewrites do not roll over to the next period. Your allowance resets at the start of each billing period.
- When you reach a limit, AI generation pauses until the next period or until you move to a higher plan, while editing, sending and signing continue to work.
- RFP import limits per document are part of the plan description on the pricing page.
Acceptable use
You agree not to use the service to do any of the following.
- Send spam, unsolicited bulk messages or proposals to people who have not engaged with your business.
- Create fraudulent, deceptive or misleading proposals, quotes or contracts, or impersonate another person or business.
- Upload content that infringes intellectual property or privacy rights, or that is unlawful, defamatory, harassing or obscene.
- Upload malware, probe or attack the service, bypass plan limits or access controls, or scrape it by automated means outside the features and integrations we provide.
- Resell the service or use it to build a competing product.
- Place sensitive categories of personal information in proposals, such as health or financial account data, unless you have a lawful basis and it is necessary for the deal.
We may suspend accounts that break these rules, after notice where practical.
Your content stays yours
You own the briefs, proposals, templates, library blocks, client details and files you put into the service, and the drafts the AI generates for you. You grant us a limited license to host, process, transmit and display that content only as needed to provide and secure the service for you. We do not train AI models on your proposals. You are responsible for having the right to use any content and personal information you upload, including details about your own clients and signers, and for giving them any notice the law requires.
- You can export your proposals at any time.
- When you close your account, your content is deleted as described in our Privacy Policy.
- ProposalCreation keeps all rights in the software, design and brand of the service.
AI output must be reviewed
Drafts and rewrites are produced by our AI from the information you provide and may contain errors, omissions or wording that does not fit your offer. You are responsible for reviewing, editing and approving every proposal, price, term and commitment before you send it. AI output is not legal, tax or financial advice.
Electronic signatures
The service lets you collect electronic signatures that are designed to be legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA), with an audit trail of each signing event. You are responsible for deciding whether an electronic signature is appropriate for a particular document and jurisdiction, for choosing the signing method and signer verification, and for obtaining any consent to do business electronically that the law requires. Some documents, such as wills or certain notices, may not be signed electronically under applicable law. We do not provide legal advice.
Third-party integrations
You can connect services such as HubSpot, Salesforce, Pipedrive, Zapier, webhooks and Slack. When you connect an integration, you authorize us to exchange the data you select with that service. Those services are governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy or handling of data once it leaves our service.
Availability and changes to the service
We work to keep the service available around the clock, but it may occasionally be interrupted for maintenance, updates or events outside our control. We may improve, change or retire features, and we will give reasonable notice before removing a feature that is a core part of your plan.
Suspension and termination
You may close your account at any time. We may suspend or terminate access if you materially breach these terms, fail to pay, or create a risk for the service or other customers, giving notice where practical. After termination, the sections on content ownership, limitation of liability, indemnity and governing law continue to apply.
Disclaimer of warranties
Except as expressly stated in these terms, the service is provided "as is" and "as available", without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that any proposal will be accepted or that any deal will close.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim arising from the service is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnity
You agree to defend and indemnify the administrator of the proposalcreation.com service against claims by third parties arising from your content, your proposals and contracts with your clients, or your breach of these terms.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, unless mandatory consumer protection law in your country of residence gives you the right to bring proceedings where you live.
Changes to these terms
We may update these terms from time to time. We will post the new version on this page with a new date and notify account owners by email at least 30 days before a material change takes effect. If you continue to use the service after that date, the updated terms apply. If you do not agree, you can cancel before the change takes effect.
